1. Ticket Terms & Conditions


Match Tickets

  1. Terms & Conditions This ticket use policy (Ticket Use Policy) governs the use of tickets purchased for Football Matches held at the Madejski Stadium from the Ticket Office. PLEASE READ THE FOLLOWING CAREFULLY BEFORE YOU PURCHASE ANY TICKETS FROM THE TICKET OFFICE For the purpose of clarity a ticket is any medium used to gain access to the stadium. This includes stadium access/smartcards which may or may not be branded as a Season Ticket or Member Card.

  2. Ticket holders and/or purchasers of tickets will be responsible for compliance and observance with this Ticket Use Terms and Conditions and with any ground regulations governing persons entering, present at or leaving the Madejski Stadium (the Stadium located at Bennett Road, Reading, Berkshire RG2 0FL) as may be specified by Reading Football Club (Reading FC, RFC or the Club) from time to time. Misconduct of the ticket holder or nominee, failing to adhere to this Ticket Use Policy or acting in a manner which the Club considers is detrimental to its interests or is likely in the reasonable opinion of the Club to bring Football or the Club into disrepute shall permit the Club to confiscate or forfeit (in each case without compensation) the ticket, to prevent access to the Stadium for the fixture in question and/or to ban the ticket holder from attending future matches or other events at the Stadium for such time as the Club deems appropriate. The club will seek where relevant to prosecute to the full extent of the law where applicable as well as informing other bodies either Football Regulatory or Law enforcement of any breaches of this nature.

  3. All Football match tickets are issued subject to (i) these terms and conditions (as the same may be amended, varied or changed from time to time), (ii) the rules and regulations from time to time of FIFA, UEFA, The Football Association, The FA Premier League and The Football League as the case may be having regard to the competition in respect of which tickets are offered for sale, (iii) any ground regulations governing persons entering, present at or leaving the Stadium (as such regulations may be specified and amended, varied or changed by Reading FC from time to time), and (iv) such additional rules and regulations as Reading FC may adopt form time to time, all of which are hereby incorporated into the terms and conditions of the issuance of a ticket and called collectively the Ticket Use Terms and Conditions.

  4. Reading FC will only give refunds on purchased tickets if the tickets are returned to the Reading FC Ticket Office over 24 hours before the kick off of the match the ticket is valid for.

  5. Reading FC reserve the right to price tickets and change the price of tickets for any match however they deem appropriate including after a sale has been made without refund.

  6. Concessions may be offered on ticket pricing for Senior Citizens, Junior and Disabled supporters. At the Clubs discretion you may be asked to provide proof of your concessionary status. For the avoidance of doubt Senior Citizen prices are valid for anybody 65 and over, and junior prices for anybody aged 21 and under as at 1st August (where August is the 1st month of the season). Disabled supporters are defined within the Clubs Disabled Ticketing Policy which can be found here (http://www.readingfc.premiumtv.co.uk/page/Disabled/0,,10306,00.html) or via the Customer Service Department at the Stadium. The club reserves the right to alter these price age bands without notice. Anybody found to be using concession ticket unjustly to gain entry to a Reading FC match will be liable to denied entry or ejection. No refund will be given.

  7. If the Football match for which a ticket relates to is postponed or abandoned for any reason the terms of the Clubs Customer Charter will apply. If the match is abandoned before kick off, the ticket shall remain valid for the rearranged match. Any person who does not wish to attend the rearranged Football match shall be entitled to a refund and in the case of a postponement before kick off this will be the full face value of the ticket for the relevant match. Refunds will only be considered until 24 hours prior to the match and will only be provided once the relevant ticket is returned to the Ticket Office. In the case of an abandonment of the Football match once the match has commenced half price admission to the re-arranged game will be offered. In no circumstances will Reading FC be liable to pay any other sums to any persons in connection with a postponed or abandoned Football match.

  8. If for any reason the date and/or time of a Football match is altered after a ticket has been purchased it is the responsibility of the customer to ascertain the correct date and time of the fixture. Reading FC will endeavour to make this information available as soon as any changes have been made. Reading FC is under no obligation to give any form of recompense to anybody who misses a Football match due to a date and/or time change.

  9. In the event of a ticket being lost, damaged or misplaced Reading FC is under no obligation to provide a duplicate ticket.

  10. The purchase of a ticket constitutes an acceptance by the purchaser of, and an undertaking to be bound by and observe, the Ticket Purchase Policy and Ticket Use Terms and Conditions of Reading FC.

  11. The resale of any tickets at more than face value is strictly prohibited. When purchasing the ticket, you will inform the new holder that they are subject to this policy. A ticket shall become void and will not allow entry to the stadium or have any right to a refund where Reading FC believe it has been sold to another person at higher price, sold on the Internet (through unauthorised ticket brokers, auction sites or otherwise) or any other medium whether now or hereafter developed or it has been used as a prize in a lottery, competition or for any other promotional or advertising purpose unless expressly authorised by Reading FC in writing. The club will seek where relevant to prosecute to the full extent of the law where applicable as well as informing other bodies either Football Regulatory or Law enforcement of any breaches of this section.

  12. Entrance to the stadium is only permitted upon presentation of a valid ticket, which should be retained until the Football match in question has been played to a conclusion. In addition, upon request, proof of identity may be required.

  13. The ticket gives access only to the block, row and seat indicated on the ticket and not to any other seat within the stadium, however Reading FC reserves the right to re-allocate the ticket holder to any other seats in the stadium at any time.

  14. No person (other than the holder of a valid licence granted by Reading FC or by a Football authority with London Irish's consent) may bring into, or use within, the stadium any equipment which is capable of recording or transmitting any audio, visual or audio-visual material or any information or data in relation to a match or the stadium, other than mobile phones or like devices for personal non commercial use.

  15. The ticket remains the property of Reading FC at all times.

  16. Reading FC excludes to the maximum extent permitted by the law any liability for loss, injury or damage to persons/property in or around the stadium (whether or not indirect or consequential). Nothing in the Ticket Purchase and Use Terms and Conditions shall exclude or restrict Reading FC's liability for its own negligence.

  17. Reading FC Reserves the right to refuse any person the right to buy a ticket, entry to the stadium and to eject from the stadium any person:

    • who fails to comply with the Ticket Purchase and Use Terms and Conditions;
    • who does not produce a valid ticket on request;
    • who holds a ticket in breach of any of the paragraphs above;
    • whose presence within the stadium may be a source of danger, nuisance, annoyance or otherwise that may give rise to concerns in relation to the safety and security arrangements for the Football match concerned. This includes excessive noise, smoking, use of foul and abusive language and the throwing of any object which might injure or cause damage to people or property;
    • Reading FC will not tolerate any forms of bigotry, racism or inappropriate behaviour arising from any form of prejudice. Anyone found in breach of this condition could receive a warning, have their ticket confiscated without compensation, receive an indefinite life ban from the stadium and in some cases arrest;
    • who fails to comply with instructions from a Reading FC steward or police officer, including refusal to be searched;
    • who is in possession of any item that may be used as a weapon or missile which includes but is not limited to flares and smoke bombs, or any bottle, can or tin;
    • who appears to be under the influence of alcohol and/or drugs
    • who is overly aggressive or abusive to any member of Reading FC staff or a police officer;
    • who is suspected of committing, being likely to commit or having committed in the past a criminal offence within or on the site of the stadium;
    • who enters an area prohibited to the ticket holder;
    • who damages, interferes with or tampers with Reading FC's property in any way; or
    • who stands in a seated area, on a seat, in an aisle or gangway or climbs over any fences or other structures without permission.

    If these Ticket Purchase and Use Terms and Conditions are not accepted tickets should not be purchased or should be returned to the club immediately. The purchase and/or use of the ticket will be deemed to constitute acceptance by the user of these Ticket Purchase and Use Terms and Conditions in full.



Season Tickets

 

1. Issue of Season Ticket

1.1 The issue of a Season Ticket and subsequent access to the Ground is subject to the Terms & Conditions of Entry.

1.2 Season Tickets are for the use of supporters of the Club only. By applying for a Season Ticket and/or using the same you hereby warrant and represent that you are a supporter of the Club.

2. Admission to the Ground

2.1 Use of a Season Ticket constitutes acceptance of the Terms & Conditions of Entry.

2.2 A Season Ticket permits you to occupy at the Match the seat indicated on the Season Ticket or such other alternative seat of equal price as the Club may, from time to time, allocate to you at its reasonable discretion.

2.3 Nothing in these Conditions of Issue shall constitute or imply any entitlement to occupy the seat indicated on the Season Ticket in any subsequent season.

2.4 Save as set out in clause 2.5 below, you shall not bring into (or use within) the Stadium any equipment which is capable of recording or transmitting (by digital or other means) any audio, visual or audio-visual material or any information or data in relation to a Match or any aspect of it.

2.5 Mobile telephones are permitted within the Stadium, provided that they are used for personal and private use only.

2.6 Save for official Club merchandise and/or other football related clothing worn in good faith, you shall not bring into, use or display within the Stadium any sponsorship, promotional or marketing materials.

2.7 You shall not offer or distribute (either free or for sale by any person) within the Ground any consumer article or commercial product of any nature. For the avoidance of doubt this clause shall not prevent the lawful distribution of text publications in any format which do not infringe clause 2.6 where both the content and the publication are lawful in all respects and do not in the Club's reasonable opinion constitute a threat to public order.

2.8 The Club reserves the right to refuse admission to, or eject from, the Ground any person who fails to comply with the Terms & Conditions of Entry.

3. Use of Season Ticket

3.1 Season Tickets are issued for your sole use and you shall not resell, assign or (save as set out in clause 3.2 below) transfer or lend the Season Ticket or the benefit of it to any other person without the prior written consent of the Club. For the avoidance of doubt (and by way of example only) this Season Ticket may not be offered as a prize in any promotion or competition nor transferred, lent or sold to any third party as part of a hospitality or travel package, given to a third party who agrees to buy another good or service, or used for any other commercial purpose, save as expressly authorised by the PL or the Club.

3.2 You may only resell or transfer the Season Ticket to a Guest with the express written consent of the Club given at the Club's absolute discretion. No such resale or transfer will be permitted except where the same takes place in respect of an individual match and in consideration of no payment or benefit in excess of the face value of a ticket to that Match and such transfer does not take place during the course of any business or for the purpose of facilitating any third party's business.  Such resale or transfer to any Guest will be subject to the Terms and Conditions of Entry which will (save for any rights to transfer under this clause) apply to that Guest as if he/she was the original purchaser of the Season Ticket (and you must inform the Guest of this). Transfers of Season Tickets are permitted solely when advised to the club in advance and the appropriate upgrade fee based on the individual match price is paid. Season Tickets are intended solely for the named Season Ticket Holder and the club will monitor and reserves the right to suspend the transfer facility or Season Ticket if tickets are regularly not being used by the named holder. The unauthorised sale or disposal of tickets is a criminal offence under section 166 of the Criminal Justice and Public Order Act 1994, as amended by the Violent Crime Reduction Act 2006. The Club will inform the police when it becomes aware that Season Tickets are being sold illegally and will press charges to be brought against those breaking this law.

3.3 The Season Ticket will remain the property of the Club at all times and must be produced together with evidence of your identity if required to do so by any official, steward or employee of the Club or any police officer. The Club reserves the right to require the immediate return of the Season Ticket at any time.

3.4 Any Season Ticket obtained or used in breach of the Terms & Conditions of Entry shall be automatically void and all rights conferred or evidenced by such Season Ticket shall be nullified. Misuse of this Season Ticket may result in the holder being refused entry to, or ejected from, the Ground in respect of a particular Match and/or the cancellation and withdrawal of this Season Ticket. In the event of any cancellation and withdrawal in accordance with this clause 3.5, no refund shall be payable to the holder in respect of any unexpired portion of the Season Ticket. The Club further reserves its right to take any legal action against any person(s) as it sees fit in connection with such matters.

4. Changes to Dates, Refunds & Exchanges

4.1 No guarantees can be given by the Club that a Match will take place at a particular time or on a particular date. The Club reserves the right to reschedule any Match without notice and without any liability whatsoever. Your Season Ticket will enable you to attend the re-arranged Match.

4.2 The Club will have no further liability whatsoever, including (but not limited to) any direct or consequential loss or damage, loss of enjoyment or travel costs.

4.3 All Season Ticket sales are full and final and are only refundable if returned to the club before the commencement of the first game for which they are valid.

5. Lost or Stolen Season Tickets

5.1 In order to gain admission to the Stadium the Season Ticket smartcard must be presented at every match. If applicable, the numbered vouchers must be torn from Season Ticket books in the presence of the turnstile operator/attendant.

5.2 In the event that you forget your Season Ticket in respect of any individual Match, the Club shall not be obliged to admit you or issue any other form of ticket for that Match. If a match-day duplicate ticket is issued, the Club may require payment of a non-refundable administration charge.

5.3 If, in the Club's opinion, a Season Ticket is irreparably lost, stolen or destroyed, a duplicate Season Ticket shall be issued by the Club as soon as reasonably practicable after the payment of a non-refundable administration charge. You may be required to sign a document confirming that the original Season Ticket is irreparably lost, stolen or destroyed and indemnifying the Club against any direct or indirect consequences of such matter having been falsely represented or stated to the Club.

5.4 Should any Season Ticket when applied for not arrive in the post after purchase, you may be required to sign a document confirming this and undertaking to immediately return the original Season Ticket to the Club should it come into your possession at any time. There will be no charge for the issue of a duplicate Season Ticket in this instance.

6. Change of Address If you change your address during the season you must notify the Club as soon as reasonably practicable.

7. Cancellation & Withdrawal of Season Ticket

7.1 Without prejudice to any other remedies it may have, the Club shall have the right in the case of any serious or persistent breach of the Terms & Conditions of Entry to cancel and withdraw your Season Ticket. In the event of such cancellation no refund will be paid in respect of any unexpired portion of the Season Ticket. Without prejudice to the general nature of the above the following actions shall constitute serious breach of the Terms & Conditions of Entry:

7.1.1 smoking in designated non-smoking areas;

7.1.2 persistent standing in seated areas whilst the Match is in progress;

7.1.3 sale or transfer (save as permitted) of this Season Ticket to any person;

7.1.4 deliberate misuse of the Season Ticket;

7.1.5 the supply of any misleading or incorrect information in any application;

7.1.6 persistent swearing during the Match;

7.1.7 the throwing of any object within the Ground without lawful authority or excuse;

7.1.8 the chanting of anything of an indecent or racist nature;

7.1.9 any misrepresentation in relation to clause 1.2;

7.1.10 breach of the terms of any Membership;

7.1.11 any failure to pay or default of payment in respect of any sums owing to the Club (or any third party) in respect of this Season Ticket.

7.2 In the event that your Season Ticket is withdrawn or cancelled the Club reserves the right to exclude you from any membership scheme maintained or organised by the Club and/or to disqualify you from applying for any Match ticket or season ticket at its discretion.

8. Exclusion of Liability
To the maximum extent permitted by law, the Club hereby excludes any liability for loss, injury or damage to persons/property in or around the Ground.

9. Governing Law
These Conditions of Issue shall be governed by and construed in accordance with the laws of England and Wales. The parties hereby submit to the exclusive jurisdiction of the Courts of England and Wales.

10 Definitions
In the Conditions of Issue the following words and phrases shall have the following meanings:

"Conditions of Issue" means these terms and conditions governing the issue and use of a Season Ticket.

"Ground" means the football stadium and all other locations owned, occupied or utilised by the Club.

"Ground Regulations" means those ground regulations issued by the Club from time to time that set out the terms and conditions upon which spectators are granted entry to the Ground (copies of which are enclosed).

"Guest" means a relative, friend, colleague and/or companion to the disabled who would be entitled to purchase a Season Ticket under the Terms and Conditions of Entry.

"Match" means any football match in which the Club participates and that takes place at the Ground.

"Season Ticket" means the season ticket smartcard (and/or any rights arising out of or in connection with any of the foregoing) for admission to Matches.

"Terms & Conditions of Entry" means each of the rules and regulations of FIFA, UEFA, The Football Association, The Football Association Premier League Limited ("PL") and The Football League;the Ground Regulations; andthe Conditions of Issue.



2. Merchandise Terms & Conditions


1. Replica Kit

Customers should be aware that sizing may vary from previous Replica kits. Please ensure you obtain the correct size before printing as we are unable to exchange or refund after letters and/or numbers have been applied to personalise your item. Reading Football Club cannot accept liability for any changes to players names and numbers due to transfers.

2. Personalisation of Replica Kit


Reading Football Club (“we”, “us”, “our”) reserves the right to refuse to print shirts that we deem offensive or abusive. An operator will contact you to discuss your choice and, if necessary, request an alternative. Please note this may delay delivery of your shirt.

3. The Contract


A binding contract will be formed between us and you when we send you confirmation via email (“Order Confirmation”) that your order has been accepted. Once payment is received in full by us, you will get legal title of the goods (ownership).

 

4. Stock Availability


Occasionally, some items may be temporarily out of stock or sold out due to unprecedented demand. Where possible these items will be removed from the website, where possible we will offer alternative items on customer approval. If this is not possible, we will place out of stock items on back order and it will follow as soon as possible on a separate delivery. Customers can choose to accept a partially complete order at the time of checkout. If any items are likely to take more than three weeks the club will contact the customer to check with whether they wish to proceed with the order. If any items have been discontinued we will endeavour to offer an alternative wherever possible.


If for any reason you are not satisfied with any article, we will do our utmost to deal with your complaint to your satisfaction. This does not affect your statutory rights. 

5. Pricing Policy


Prices quoted on our website are correct at time of publishing but we reserve the right to vary them up or down due to changes in VAT or any other circumstances which may be beyond our control. All prices stated are inclusive of VAT. If we despatch an order to a destination outside the European Community (including the Channel Islands) VAT will automatically be deducted. All orders are subject to a delivery charge.

6. Payment


Goods can be paid for by:


  • Credit/debit card - MasterCard, Visa, Delta, Maestro, Electron and Solo. We DO NOT accept American Express or Diners Club cards.
  • Cheque (not available for online purchases)
  • Postal order (not available for online purchases)

We do not accept cash on delivery


Sterling cheques and postal orders will be banked on receipt. Please allow ten (10) working days for these to clear, which may delay the despatching of your order.

 

7. Customs Duty Applied


Please note the customer is responsible for all charges that relate to customs or duty that may be applied in certain countries. Reading Football Club takes no responsibility for these charges or for any delays in your receiving any goods owing to customs’ intervention.

 

8. Mail Order Delivery


Orders are dispatched in three ways – first class Royal Mail (standard delivery), City Link (next day delivery)* or CrossFlight International Courier** (Express International Delivery).


For insurance purposes any orders over the value of £25 being shipped to the UK are sent by City Link at a delivery cost of £6. For orders under £25, you have the choice between standard delivery (£4) or City Link (£6)


 

Royal Mail
If your order is placed on a weekday before 12pm, it will be dispatched on the same day. If the order is placed after 12pm, it will be dispatched the following working day. If your order is placed at the weekend, it will be dispatched on the Monday. Please allow 5 days for delivery

 

*City Link Next Day Delivery
Reading Football Club is now offering all UK customers the opportunity to receive their goods next day before 6pm. City Link will collect from the Megastore on a daily basis and dispatch orders all over the UK. This way your order can be tracked and traced via the internet so you know exactly what the status of your order is. Please note that a signature will be required so make sure that someone will be available at you shipping address.

Please note that if your order is placed on a weekday before midday, it will be delivered the following working day. If your order is placed after midday, it will be delivered 2 working days later.

Please note that orders placed on a Friday before midday will be delivered Monday and orders placed after midday Friday will be dispatched Monday for Tuesday delivery.

Reading Football Club are now offering all international customers the opportunity to receive their goods through an express courier. CrossFlight International Couriers will collect from Reading Football Club on a daily basis and dispatch orders all over the world. This way your order can be tracked and traced via the internet so you know exactly what the status of your order is. Please note that a signature will be required so make sure that someone will be available at your shipping address. Please note this service is only available Monday-Friday and orders must be placed during store hours (9am-5.30pm)

9. Delivery Charges

10. Order Cancellation


You may cancel your order for goods at any time up to the 7th working day after you receive the goods*. Instructions to cancel all or part of your order MUST be IN WRITING. You may notify us by post to The Mail Order Department, Madejski Stadium, Reading, RG2 0FL, by fax to – 0118 9074 094, or email to merchandise@readingfc.co.uk.


Once you have notified Reading Football Club that you are cancelling your order, any sum debited from your credit card will be re-credited when we receive the goods into our returns department, and, in any event, within 30 days of the cancellation, provided you return the goods in the original condition, Reading Football Club will make any other refunds will be by cheque.


You are required to take reasonable care of the goods and return them at your own cost in order to receive a refund for a cancelled order.


If your order has already been delivered you will need to follow our Refunds procedure.


*Excluding personalised goods (such as printed replica kit), videos, CDs, DVDs and magazines/programmes. For hygiene reasons, earrings and body bars cannot be resold by us if returned with the packaging opened. Except in the case of faulty merchandise, we will not refund earrings and body bars where the goods have been resealed and they have become unsuitable for resale. 


 

11. Exchanges


Damaged/Missing Goods On Delivery
You must report any damaged goods or missing items from your parcel with 72 hours of receipt. Please call readingfcdirect on 0118 9070 372/3 or email to merchandise@readingfc.co.uk. If you do not contact us within 72 hours we reserve the right not to replace or exchange/refund the item (s) that are damaged or missing.


Exchanges
If you are not completely satisfied with your purchase and would like to change the item (s) we will be happy to exchange most goods* provided that they are returned in a new and unused condition, with your proof of purchase and within 28 days** of that purchase.


All goods to be exchanged must be received back in a new and unused condition, with the original wrapping and the invoice or shop receipt. Please re-use the original packing material if possible, and use the return label attached to the invoice. The return address is readingfcdirect, Madejski Stadium, Reading, RG2 0FL. You may also return any of our products for an exchange to our Madejski Stadium Megastore.


We cannot accept responsibility for returned goods if they are lost in transit. It is your responsibility to obtain a Proof of Posting Certificate or have adequately insured the goods using Recorded Delivery of Special Delivery for expensive items.


*Excluding personalised goods (such as printed replica kit), videos,CDs, DVDs, and magazines/programmes.For hygiene reasons, earrings and  body bars cannot be resold by us if returned with packaging opened. Except in the case of faulty merchandise, we will not refund earrings and body bars where the goods have been unsealed and they have become unsuitable for resale.


** The date for readingfcdirect customers for the 28 day period to start will be from the date that the goods have been dispatched from our warehouse.


 

12. Refunds


If you wish to have an item (s) refunded, the goods* must be in a new and unused condition, returned to us with your proof of purchase and within 28 days** of that purchase.


All goods to be refunded must be received back in a new and unused condition with the original wrapping and the invoice or shop receipt. Please re-use the original packing material and use the return label attached to the invoice. The return address is readingfcdirect, Madejski Stadium, Reading, RG2 0FL you may also return any of our products for a refund to our Madejski Stadium Megastore.


We cannot accept responsibility for returned goods if they are lost in transit. It is your responsibility to obtained Proof of Posting Certificate or have adequately insured the goods using Recorded Delivery of Special Delivery for expensive items.

13. Faulty Goods

3. Hospitality Terms & Conditions


The following are the Terms and Conditions on which Reading Football Club Limited ("Club") agree to provide venue and hospitality facilities to customers ("Client").

1. Definitions

1.1 "Agreement" means these Terms and Conditions and the Booking Form.
1.2 "Booking Form" means the form setting out the Client's booking details incorporating these Terms and Conditions.
1.3 "Fee" means the fee for the Room and the Package specified on the Booking Form including VAT.
1.4 "Games" means Club matches or matches promoted by the Club during which the Package will be provided to the Client as specified on the Booking Form.
1.5 "Hire Period" means the times during which the Room will be made available to the Client for the Games as notified to the Client by the Club from time to time.
1.6 "Package" means the package specified on the Booking Form.
1.7 "Room" means the room provided to the Client at the Madejski Stadium Reading for use at the Games as specified on the Booking Form.
1.8 "Term" means the term of this Agreement as set out in clause 6 below.


2. The Club’s Obligations


2.1 In consideration of payment of the Fee, the Club shall during the Hire Period:

2.1.1 make the Room available for use by the Client and its guests;
2.1.2 provide the goods and services specified in the Package;
2.1.3 provide such furniture, furnishings, fixtures and equipment in the Room as may be reasonably required for the use of the Room. Such items shall remain the property of the Club at all times;
2.1.4 clean and maintain the Room to a reasonable standard;
2.1.5 take all reasonable precautions for the security of the Room. The Club shall not however be in any way responsible for the loss of or damage to the property of the Client or its guests;
2.1.6 make available for purchase by the Client and its guests the items for sale specified in the Booking Form, to be paid for separately by the Client and/or its guests;
2.1.7 supply alcoholic drinks in the Room subject to the relevant licensing laws and any conditions imposed on the Club by any relevant authority;
2.1.8 provide all essential services and facilities to the Client and its guests.

2.2 The Club shall perform its obligations under this Agreement with reasonable care and skill and in accordance with all applicable laws, regulations and requirements of local authorities and landlords.



3. The Client’s Obligations


3.1 The Client shall and shall procure that its guests:

3.1.1 use the Room only during the Hire Period;
3.1.2 use the Room, match seat and Club premises in a proper and lawful manner and not so as to cause nuisance or inconvenience to the Club or any other person;
3.1.3 keep the Room together with furniture, furnishings, fixtures and equipment supplied by the Club in good repair and condition (fair wear and tear excepted) and make good any damage or loss caused in the course of the use of Room as soon as reasonably practicable;
3.1.4 do not cause or permit the capacity of the Room as specified in the Booking Form to be exceeded;
3.1.5 do not bring any food or beverages into the Room for consumption other than those supplied by the Club;
3.1.6 do not display any posters or materials in the Room without the Club's prior written consent;
3.1.7 remove all personal belongings from the Room at the end of the Hire Period;
3.1.8 comply with all applicable laws relating to the consumption of alcohol in football grounds and the terms of the Club's alcohol licence as notified to the Client from time to time;
3.1.9 comply with the special terms and conditions specified in the Booking Form;
3.1.10 comply with all reasonable directions given by the Club as to the use of the Room and the Club's premises;
3.1.11 behave in a responsible manner and comply with any Club rules and policies notified to the Client from time to time;
3.1.12 comply with the dress code notified to the Client from time to time.

3.2 The Club reserves the right to refuse entry to or require the removal of any person who it considers is in breach of or in its reasonable opinion is likely to breach the terms of clause 3.1.

 

4. Variations


4.1 The Club reserve the right to vary the Package from time to time on giving such notice to the Client as is reasonably practicable in the circumstances. Where a variation is made, the Club shall use its reasonable endeavours to ensure that the alternative package provided is of a superior or equivalent standard to the Package.
4.2 If the Room is unavailable for any reason during the Hire Period, the Club reserve the right to relocate the Client to an alternative room on giving such notice to the Client as is reasonably practicable in the circumstances. Where the Client is relocated to another room, the Club shall use its reasonable endeavours to ensure that the replacement room is of a superior or equivalent size and standard to the Room.
4.3 The dates and times of Games are subject to change and the Club accepts no responsibility in respect of such changes and no refunds will be made to the Client.


5. Limitation of Liability


5.1 The Client shall indemnify the Club in respect of any claims, liabilities, damages, costs, expenses or losses incurred by the Club arising from or in connection with the use by the Client and its guests of the Room and the Club's premises other than in accordance with the terms of the Agreement.
5.2 Nothing in the Agreement shall operate to exclude or limit the Club's liability for death or personal injury caused by the negligence of the Club, its servants, agents, employees or sub-contractors or for fraudulent misrepresentation.
5.3 Subject to Clause 5.2:-

5.3.1 The Club's total aggregate liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise, arising in connection with the performance or contemplated performance of the Agreement shall be limited to the Fee; and
5.3.2 The Club shall not be liable to the Client for any special, indirect or consequential loss or damage or for loss of profit, loss of business, loss of anticipated savings or depletion of goodwill which arise out of or in connection with the Agreement.


6. Term and Termination


6.1 The Agreement shall commence on the date of signature of the Booking Form by the Client and subject to clause 6.2, shall continue until the end of the Season and shall not be capable of cancellation or early termination except as provided in this clause 6.
6.2 Either party shall be entitled to terminate the Agreement with immediate effect on written notice to the other party if:

6.2.1 the other party commits a material breach of any term of the Agreement and in the case of a breach capable of remedy fails to remedy the same within 14 days after receipt of a written notice giving full particulars of the breach and requiring it to be remedied;
6.2.2 an encumbrancer takes possession or a receiver is appointed over any of the property or assets of the other party;
6.2.3 the other party makes any voluntary arrangement with its creditors or becomes subject to an administration order;
6.2.4 the other party goes into liquidation (except for the purposes of amalgamation or reconstruction and in such manner that the company resulting therefrom effectively agrees to be bound by or assume the obligations imposed on that other party under the Agreement);
6.2.5 anything analogous to any of the foregoing under the law of any jurisdiction occurs in relation to the other party;
6.2.6 the other party ceases or threatens to cease to carry on business;
6.2.7 the other party is declared bankrupt or makes any arrangement with or for the benefit of his creditors.

6.3 Termination of this Agreement, however caused, shall be without prejudice to any rights or liabilities accrued at the date of termination.
6.4 If this Agreement is terminated by the Club in accordance with clause 6.2, there shall be no liability on the part of the Club to refund any proportion of any Fee paid by the Client.


7. Fee


7.1 The Fee shall be paid by credit or debit card or on invoice by the Club. Amex and Diners cards are not accepted.
7.2 Where the Client chooses to pay by credit or debit card, the Client's card will be debited by the Club as soon as reasonably practicable after receipt of the signed Booking Form and a receipted invoice will be sent to the Client.
7.3 Where the Client chooses to pay on invoice, the Club shall invoice the Client for the Fee on receipt of the signed Booking Form. The Client shall pay the Fee within 14 days of receipt of the Club's invoice.
7.4 If the Client fails to pay the Fee to the Club by the due date for payment, the Club may charge the Client interest on the overdue amount at the rate of 4% per annum above HSBC Bank Plc's base lending rate from time to time. Such interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. The Client shall pay the interest immediately on demand by the Club.
7.5 Without prejudice to clause 7.4, where the Fee is not paid by the due date for payment, the Club reserve the right to refuse the Client use of the Room until the Fee has been paid.

 

8. General


8.1 The Client may not without the prior written consent of the Club assign, sub-contract, delegate or dispose of any of its rights or obligations under the Agreement.
8.2 Neither party shall be deemed to be in breach of the Agreement or otherwise be liable to the other by reason of any delay in performance or non-performance of any of its obligations under the Agreement to the extent that such delay or non-performance is due to any cause or event outside that party's reasonable control.
8.3 Any waiver by either party of a breach of any provision of the Agreement shall not be considered as a waiver of any subsequent breach of the same or any other provision thereof.
8.4 The Agreement contains the entire agreement between the parties with respect to the subject matter thereof and supersedes all previous agreements and understandings between the parties with respect thereto and may not be modified except by an instrument in writing signed by the duly authorised representatives of the parties.
8.5 Each party acknowledges that in entering into the Agreement it does not do so on the basis of and does not rely on any representation warranty or other provision except as expressly provided therein and all conditions, warranties or other terms implied by statute or common law are hereby excluded to the fullest extent permitted by law.
8.6 If any provision of the Agreement is held by any court or other competent authority to be void or unenforceable in whole or in part the Agreement shall continue to be valid as to the other provisions and the remainder of the affected provisions.
8.7 No term of the Agreement shall be enforceable under the Contracts (Rights of Third Parties) Act 1999 by any third party.
8.8 Where there is any inconsistency between these Terms and Conditions and the Booking Form, the provisions of the Booking Form will prevail. The Club reserves the right to vary these Terms and Conditions from time to time.
8.9 Any notice or other information required or permitted to be given by either party under the Agreement shall be deemed to have been validly given if served personally upon that party or if sent by first class pre-paid post to the last known address of that party. If sent by first class pre paid post the notice shall be deemed to have been received 2 working days after the date of posting.
8.10 The Agreement shall be governed by and construed in all respects in accordance with English law and each party hereby submits to the exclusive jurisdiction of the English courts.
